These Terms of Service ("Terms") constitute a legally binding agreement between you and Allegiance Group ("Company," "we," "us," or "our") regarding your access to and use of the NZIGPT website and services (the "Service").

By creating an account or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

NZIGPT is an AI-powered research assistant that helps users find information related to New Zealand immigration policies and procedures. The Service includes:

• AI Immigration Chatbot powered by the INZ Operations Manual
• Technical Advisor Email Drafter tool
• Source citations and reference links

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. Subscription Plans and Payments

4.1 Free Tier

• Limited to 10 queries per week
• Query history is cleared upon each login
• No credit card required

4.2 Professional Tier

• Unlimited queries
• Full query history retention
• Priority support
• Billed monthly or annually

4.3 Billing

• All prices are in New Zealand Dollars (NZD) unless otherwise stated
• Subscriptions automatically renew unless cancelled
• You authorize us to charge your payment method on file
• Price changes will be communicated in advance

4.4 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial billing periods
• After cancellation, your account reverts to the Free tier

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper operation of the Service
• Engage in automated scraping or data harvesting
• Resell or redistribute the Service without permission
• Use the Service to provide immigration advice to third parties as a business without proper licensing
• Impersonate any person or entity
• Harass, abuse, or harm others

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, and content (excluding third-party content), is owned by Allegiance Group and protected by copyright, trademark, and other intellectual property laws.

6.2 Third-Party Content

The Service references content from the Immigration New Zealand Operations Manual, which is owned by the New Zealand Government. We do not claim ownership of this third-party content.

6.3 Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a license to use it solely for providing the Service to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of profits, data, or goodwill
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any immigration decisions made based on information from the Service

You agree to indemnify, defend, and hold harmless Allegiance Group and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service

10. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Update these Terms at any time
• Change pricing with reasonable notice

Material changes to these Terms will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Orange County, California, in accordance with the rules of the American Arbitration Association.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign your rights under these Terms without our consent.
